These terms govern your use of the execuria.com website and set out the framework for advisory engagements with Execuria Inc. By using this website you accept these terms. Engagement work is separately governed by a written agreement signed by the parties.

This website is operated by Execuria Inc., a business advisory practice with offices at 2200 Ross Avenue, Suite 4700, Dallas, TX 75201, United States. References to "we", "us" and "our" mean Execuria Inc. References to "you" mean the organisation or person using this website.

2. Use of this website

You may read and use this website for lawful, internal business purposes connected with evaluating our practice. You may not attempt to disrupt the site, to gain unauthorised access to it, to extract its content for resale, or to use it in a way that infringes the rights of others. We may change or withdraw any part of the site at any time.

3. No offer, no engagement

Nothing on this website is an offer capable of acceptance, and no figures, descriptions or examples create a contract. An advisory engagement begins only when a written scope is signed by the parties. Submitting a form on this site, including the feedback forms, does not create a client relationship and does not commit you to anything.

4. Intellectual property

The text, layout and hand-built graphics of this website belong to Execuria Inc. or are used with permission. You may quote short passages with attribution. Material we produce during an engagement is owned by the client once the agreed fees are settled, subject to the terms of the engagement agreement.

5. Confidentiality

We treat enquiries and engagement information as confidential. We disclose nothing about a client beyond what the client agrees in advance, except where the law requires disclosure. Where an engagement requires a mutual confidentiality agreement, we sign one.

This website is provided on an "as is" basis. We take care to keep it accurate, but we do not promise that it is complete, current or always available. Nothing on this website is legal, tax, accounting or employment advice, and no outcome is guaranteed. Our disclaimer forms part of these terms.

7. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect or consequential loss arising from your use of this website. Where liability cannot be excluded, our aggregate liability relating to the website is limited to one hundred United States dollars. Liability arising from a signed engagement is governed by the engagement agreement, not by these terms.

8. Governing law and venue

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from these terms.

9. Arbitration and class-action waiver

Any dispute arising out of or relating to this website or these terms that cannot be resolved by good-faith discussion will be settled by final and binding arbitration administered in Delaware under the rules of a recognised arbitration body, before a single arbitrator. The arbitrator may award relief only on an individual basis. To the fullest extent permitted by law, you and we each waive any right to bring or participate in a class, collective or representative proceeding. You may opt out of this arbitration provision by writing to [email protected] within thirty days of first accepting these terms. This provision does not prevent either party from seeking relief in a small-claims court where it applies.

We may revise these terms. The date at the top shows the current version, and continued use of the site after a revision means you accept it.
